Our M&A, Fundraising and Corporate Advisory team is led by 13 principals and senior lawyers across our Brisbane and Sydney offices, who are all experienced Merger and Acquisition advisors and have spent significant periods in market leading M&A and private equity teams in Brisbane, Sydney and London. Head of the Corporate team, Tim Sayer, has 25 years of M&A experience and was recognised by Best Lawyers Australia as Queensland Corporate Lawyer of the Year in 2024 and Queensland Private Equity Lawyer of the Year in 2022.

Private M&A and private equity

Our corporate team are experienced private M&A advisors and regularly advise on all types of private M&A transactions including share sale, business and asset sale, share subscriptions, joint venture arrangements and corporate reorganisations. Our principals have acted for a number of leading Australian and international private equity firms on a range of buy-side and sell-side M&A transactions, including large management buy-outs, expansion capital and investment exit deals. Our team also regularly advises exiting founders and continuing management on sell-side transactions and management teams on equity and shareholding arrangements with a private equity involvement and our principals are market leaders in these transactions.

The corporate team provide practical assistance to our clients in connection with obtaining regulatory approvals that may be required for M&A transactions, including ACCC merger clearance and Foreign Investment Review Board approvals. We also provide carefully tailored due diligence solutions by working closely with our specialist teams in property, employment, competition, intellectual property, regulatory, debt finance, commercial disputes and insolvency and restructuring to deep dive on issues that matter and not wasting time and money on those that don’t.

Public M&A

Our principals have the experience to guide clients through the regulatory process on public M&A transactions, including schemes of arrangements and Chapter 6 takeovers. Our lawyers understand that these can be make or break deals for our clients, and are dedicated to providing commensurate quality advice and service.

Our principals work together with our clients to formulate successful strategies on either side of a public M&A transaction, whether friendly or hostile deals. We also have strong relationships with ASIC, ASX and other key regulatory bodies, and a history of successful involvement in Takeovers Panel matters.

Venture capital

Our corporate team has significant experience in the Australian venture capital market and regularly advises venture capital funds and corporate venture investors making investments in start-up and early stage growth companies as well as start-up and early stage growth companies and their founders seeking investment.

We utilise our extensive M&A and capital market experience, alongside other firm expertise, to work with, and provide guidance to our venture clients on the various corporate actions start-up and early stage growth companies face across all stages of the growth lifecycle, from initial formation, through venture equity and debt financing transactions, and to liquidity events such as trade sales or initial public offerings.
